Terms and Conditions for Spreant Ride & Spreant Driver

These Terms and Conditions ("Terms") govern your access to and use of the Spreant Ride (for riders) and Spreant Driver (for drivers) mobile applications, websites, and associated services (collectively, the "Services") provided by Spreant Ride ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

Spreant Ride provides a technology platform that connects users seeking transportation services ("Riders") with independent third-party transportation providers ("Drivers").

Spreant Ride does not provide transportation services, and we are not a transportation carrier. All transportation services are provided by independent third-party contractors who are not employed by us.

2. User Accounts

• Eligibility: You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.
• Registration: You must register for an account to use most aspects of the Services. You agree to provide accurate, complete, and up-to-date information during the registration process.
• Security: You are responsible for all activity that occurs under your account. You agree to maintain the security and secrecy of your account username and password at all times.

3. Use of the Services

A. For Riders

• Requests: When you request a ride, we will attempt to connect you with an available Driver.
• Safety & Conduct: You agree to treat Drivers and their vehicles with respect. You may not carry illegal substances, weapons, or use the service for any unlawful purpose.
• Payment: You agree to pay all charges incurred under your account for completed rides, cancellation fees, or damage fees, based on the pricing provided in the App at the time of your request.

B. For Drivers

• Driver Requirements: You must meet and maintain all applicable legal requirements, licensing, vehicle standards, and insurance to provide transportation services in your operating area.
• Independent Contractor: You acknowledge that you are providing services as an independent contractor, not as an employee of Spreant Ride.
• Earnings: You will be compensated for completed rides according to the payment terms displayed in the Driver App, minus any applicable service fees.

4. Payments and Fees

• Fares: Fares for rides may include a base charge, time and distance rates, dynamic pricing (surge), tolls, and applicable taxes.
• Payment Processing: All payments are processed through our designated third-party payment processors.
• Cancellations: If you cancel a ride request after a certain time, you may be charged a cancellation fee.
• Damage Fees: Riders may be held responsible for the cost of repair or necessary cleaning of a Driver's vehicle resulting from use of the Services under their account.

5. Intellectual Property

The Services and all associated intellectual property rights (including copyrights, trademarks, logos, and software) remain the property of Spreant Ride. You may not use, copy, modify, distribute, or reproduce any part of our Services without our prior written consent.

6. Disclaimers and Limitations of Liability

• "As Is" Basis: The Services are provided "as is" and "as available," without warranties of any kind, either express or implied.
• Third-Party Services: We do not guarantee the quality, suitability, safety, or ability of third-party providers (Drivers). The entire risk arising out of your use of the Services remains solely with you.
• Limitation of Liability: To the maximum extent permitted by law, Spreant Ride shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the Services.

7. Termination

We may restrict, suspend, or terminate your access to the Services or your account at any time, for any reason, with or without notice, including if you violate these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nasarawa State, Nigeria, without regard to its conflict of law principles. Any explicit legal disputes must be brought before the competent courts of Nasarawa State.

9. Changes to these Terms

We may update these Terms from time to time. If we make significant changes, we will notify you through the Apps or by email. Your continued use of the Services after such notice constitutes your consent to the changes.
